Independent Contractor Agreement

Introduction
This Independent Contractor Agreement ("Agreement") is entered into between you (the "Contractor") and MCParis Dunamys Services LLC, operating as Neatyx (the "Company"). By applying to or using the Neatyx platform, you agree to the terms below. This Agreement establishes the relationship between you and Neatyx as that of an independent contractor, not an employee. Neatyx is an open marketplace where you โ not Neatyx โ set your own service prices and control your own schedule.
Independent Contractor Relationship
You acknowledge and agree that you are an independent contractor and NOT an employee of MCParis Dunamys Services LLC or Neatyx. As an independent contractor: - You set your own prices for each service type you offer on the platform. - You control your own schedule and availability. - You are free to accept or decline any booking request. - You control the manner and method of performing cleaning services. - You are responsible for your own taxes, including self-employment tax. - You are not entitled to employee benefits such as health insurance, paid time off, or workers' compensation. - You may work for other companies or clients outside of the Neatyx platform.
Platform Role
Neatyx is an open marketplace that provides the technology infrastructure for you to list your services, receive booking requests, communicate with customers, and receive payouts. Neatyx does not control, direct, or supervise the manner in which you perform cleaning services, and does not set or modify your prices. Neatyx does not guarantee a minimum number of bookings or a minimum amount of income. Your success on the platform depends on the quality of your work, your pricing, and your customer reviews.
Contractor Obligations
As an independent contractor using the Neatyx platform, you agree to: - Perform all accepted bookings professionally and to the best of your ability. - Arrive on time for scheduled appointments. - Check in through the app upon arrival at every job โ the check-in records your GPS location and timestamp as evidence of your presence. - Communicate with customers exclusively through the Neatyx in-app messaging system. - Maintain appropriate cleaning supplies and equipment as needed. - Follow all applicable health and safety regulations. - Treat all customer properties with care and respect. - Maintain confidentiality regarding customer information and property details. - Document the property with before photos where appropriate, and upload completion photos of each cleaned area before marking a job as completed. - If you cannot access the property upon arrival, report the access problem immediately through the app and upload an entrance photo documenting your presence at the location. Do not leave without completing this step. - Not solicit or accept payment outside of the Neatyx platform for bookings originating on the platform. Attempting to circumvent platform payments โ including sharing personal payment handles, phone numbers, or off-platform contact details for the purpose of avoiding platform fees โ may result in immediate account suspension or removal.
Completion Photos & Verification
As a condition for marking any job as completed, you are required to upload at least one photo documenting the cleaned areas. These photos serve as verification that the service was performed as expected. Completion photos are visible to the customer and to Neatyx administrators. They are used solely for service verification, quality assurance, and dispute resolution purposes. By uploading photos through the platform, you grant Neatyx a non-exclusive, royalty-free license to store and display these photos to relevant parties (customers, administrators) for service verification purposes. Neatyx will not sell or distribute these photos to any third party. Important: Do not include photos of personal belongings, people, or any content unrelated to the cleaning service. Photos should only depict the cleaned areas and rooms.
Background Check & Compliance
Before your account is approved, you must consent to a background check and verify that you are legally authorized to work in the United States. Taxpayer information required for tax reporting (such as 1099 forms) is collected securely by our payment processor, Stripe, during payout onboarding. Neatyx reserves the right to decline or revoke approval if background check results are unsatisfactory or if you fail to maintain compliance with applicable laws and regulations.
Payment Terms
You set your own prices for each service type you offer. For each completed booking, you receive 90% of the service price you listed. Neatyx retains a 10% platform commission to cover marketplace operations, payment processing, and related costs. For example: if you list a Basic Clean at $150, you receive $135 upon payout; Neatyx retains $15. Payouts are triggered after the customer confirms job completion through the platform, or automatically three (3) days after you mark the job complete if the customer takes no action. Payouts are processed via Stripe Connect. You are required to set up and maintain a Stripe Connect account to receive payouts. You receive 100% of any tips left by customers. Tips are not subject to the platform commission. Customer no-show / property access failure: if you arrive at a job and cannot access the property, and you have properly documented the access failure through the app with a GPS check-in and an entrance photo, the booking may be resolved with a trip fee. In that case, you receive 50% of your listed earnings for that booking. Properly documenting access failures is required to be eligible for the trip fee. In the event of a dispute, Neatyx reviews all available evidence โ GPS check-in location and timestamp, before and completion photos, and in-app messages โ and makes a final determination on the disposition of the escrowed funds. This determination may result in full release of funds to you, a full refund to the customer, or a partial split. You agree that Neatyx's determination is binding with respect to the escrowed amount. Neatyx does not withhold employment taxes. You are solely responsible for reporting and paying all applicable taxes on your earnings.
Termination
Either party may terminate this Agreement at any time, with or without cause. You may stop using the Neatyx platform at any time by notifying the Company. Neatyx may deactivate your account for reasons including but not limited to: repeated cancellations, poor customer ratings, safety concerns, policy violations, attempting to circumvent platform payments, or failure to maintain required documentation. Upon termination, any pending payouts for fully completed and confirmed jobs will still be processed in accordance with the normal payout schedule.
Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising from this Agreement shall be resolved in the courts of Orange County, Florida.
